Services</h4>\n\t\t\t\t\t<p>1.1 The services which we are to provide for you are Professional Law Searching Services.</p>\n\t\t\t\t\t<h4>2. Financial</h4>\n\t\t\t\t\t<p>\n\t\t\t\t\t\t2.1 Fees: The fees which we will charge or the manner in which they will be arrived at, are set out in our price listing and on our website. A. Our Fees also specify a fixed fee, which we will charge for the agreed scope of our services. Work that falls outside that scope will be charged in accordance with\n\t\t\t\t\t\tour standard price listing and should the need arise on an hourly rate basis for extensive searches. We will advise you as soon as reasonably practicable if it becomes necessary for us to provide services outside the agreed scope and if requested, give you an estimate of the likely amount of the further\n\t\t\t\t\t\tcosts. B. Where our fees are calculated on an hourly basis, the hourly rates are €80 &amp; vat. The rates reflect the experience and specialization of our professional Law Searching Staff. Time spent is recorded in 5-minute units, with time rounded up to the next unit of 5 minutes.\n\t\t\t\t\t</p>\n\t\t\t\t\t<p>\n\t\t\t\t\t\t2.2 Disbursements and expenses: In providing services we incur disbursements or have to make payments to third parties on your behalf such as the Public Repositories. These will be included in our invoice to you when the expense is incurred. We may require an advance payment for the disbursements or\n\t\t\t\t\t\texpenses which we will be incurring on your behalf and will inform you as soon as reasonably practicable if this is necessary and of the relevant amount.\n\t\t\t\t\t</p>\n\t\t\t\t\t<p>2.3 Invoices: For Law Searching Services, we will send an invoice to you with each completed search report. We will also send you a statement at each month-end.</p>\n\t\t\t\t\t<p>2.4 Payment: Our fees are payable on or before settlement unless we otherwise agree. Invoices for Professional Law Searching services are payable within 30 days of the date of the invoice unless alternative arrangements have been made with us.</p>\n\t\t\t\t\t<p>2.5 Third Parties: Although you may expect to be reimbursed by a third party for our fees and expenses, nevertheless you remain responsible for payment to us if the third party fails to pay you.</p>\n\t\t\t\t\t<h4>3. Confidentiality</h4>\n\t\t\t\t\t<p>\n\t\t\t\t\t\t3.1 We will hold in confidence all information concerning you or your affairs that we acquire during the course of acting for you. We will not disclose any of this information to any other person except: A. to the extent necessary or desirable to enable us to carry out your instructions; or B. to the extent\n\t\t\t\t\t\trequired by law or by the Law Society’s Rules of Conduct and Client Care for Solicitors.\n\t\t\t\t\t</p>\n\t\t\t\t\t<p>3.2 Confidential information concerning you will as far as practicable be made available only to those within our firm who are providing professional Law Searching services for you.</p>\n\t\t\t\t\t<p>3.3 We will of course, not disclose to you confidential information which we have in relation to any other client.</p>\n\t\t\t\t\t<h4>4. Termination</h4>\n\t\t\t\t\t<p>4.1 You may terminate our services at any time.</p>\n\t\t\t\t\t<p>4.2 If our Professional Law Searching Services are terminated you must pay us all outstanding invoices and outlays incurred up to that date.</p>\n\t\t\t\t\t<h4>5. Retention of files and documents</h4>\n\t\t\t\t\t<p>5.1 You authorise us (without further reference to you) to destroy all files and documents for this matter (other than any documents that we hold in safe custody for you) 5 years after our engagement ends, or earlier if we have converted those files and documents to an electronic format.</p>\n\t\t\t\t\t<h4>6. Conflicts of Interest</h4>\n\t\t\t\t\t<p>6.1 We have procedures in place to identify and respond to conflicts of interest. If a conflict of interest arises we will advise you of this and follow the requirements and procedures set out in the Law Society’s Rules of Conduct and Client Care for Solicitors.</p>\n\t\t\t\t\t<h4>7. Duty of Care</h4>\n\t\t\t\t\t<p>7.1 Our duty of care is to you and not to any other person. Before any other person may rely on our advice, we must expressly agree to this.</p>\n\t\t\t\t\t<h4>8. General</h4>\n\t\t\t\t\t<p>8.1 These Terms apply to any current engagement and also to any future engagement, whether or not we send you another copy of them.</p>\n\t\t\t\t\t<p>8.2 We are entitled to change these Terms from time to time, in which case we will send you amended Terms.</p>\n\t\t\t\t\t<p>8.3 Our relationship with you is governed by Irish law and Irish courts have non- exclusive jurisdiction.</p>\n\t\t\t\t\t<h4>9. Data Protection</h4>\n\t\t\t\t\t<p>9.1 We will comply with the provisions of the Data Processing legislation and incorporated into these Terms and conditions by reference herein.</p>\n\t\t\t\t\t<p>9.2 If there are any inconsistencies between the Terms and conditions and the Data Processing legislation, the terms of the Data Processing legislation prevails.</p>\n\t\t\t\t\t<h4>10. Professional Indemnity Insurance</h4>\n\t\t\t\t\t<p>\n\t\t\t\t\t\tWe confirm that we hold a current and subsisting policy of professional indemnity insurance for a minimum of €7.5m in respect of any one claim from a reputable and regulated insurer and we confirm that any premium payable in respect of such policy has been paid up to date. We confirm that we will continue\n\t\t\t\t\t\tto maintain equivalent professional indemnity insurance cover in at least the same amount in respect of any one claim throughout the duration of the appointment and for a period of at least 12 months from the date our appointment ceases. However, using per-contract search reports obtained from Corporate\n\t\t\t\t\t\tAccess cannot be used as closing search reports and Corporate Access will not accept any liability where pre-contract search reports are being relied upon to close a property transaction. Pre-Contract search reports are merely an information guide as to the transaction. Client and Processor agree the\n\t\t\t\t\t\tfollowing: 1. Definitions “Data Protection Legislation” means\n\t\t\t\t\t</p>\n\t\t\t\t\t<p>10.1 the Irish Data Protection Acts 1988 and 2003;</p>\n\t\t\t\t\t<p>10.2 the European Communities (Electronic Communications Networks &amp; Services) (Privacy &amp; Electronic Communications) Regulations 2011;</p>\n\t\t\t\t\t<p>10.3 the EU Data Protection Directive 95/46/EC;</p>\n\t\t\t\t\t<p>10.4 (with effect from 25 May 2018), the General Data Protection Regulation (Regulation (EU) 2016/679) (“GDPR”)</p>\n\t\t\t\t\t<p>10.5 the EU e-Privacy Directive 2002/58/EC (as amended) (the “ePrivacy Directive”);</p>\n\t\t\t\t\t<p>\n\t\t\t\t\t\t10.6 any relevant transposition of those laws, or successor or replacement to, those laws “Party” mean either Client or the Processor who shall together be known as the “Parties”. “Personnel” means the employees and/or contractors of a Service Provider. Services” shall be such services provided by the\n\t\t\t\t\t\tProcessor to Client as described in the Agreement, or per Clients written instructions to the Processor from time to time which are accepted by the Processor. The type of Personal Data to be Processed as part of the Services may include but is not limited to name(s), surname, initials, connection number(s),\n\t\t\t\t\t\toccupation, profession, function, role, address or alternative address used for correspondence with a data subject, date of birth, age, telephone number(s), PPS number, passport number (and/or copy passport), driving licence number (and/or copy driving licence), copy identification documents and proof of\n\t\t\t\t\t\taddress, bank account number(s), loan facility and account number(s), tax registration number, details of a data subject’s properties, assets and liabilities, insurance policy number (health, life, property), participating institution client identification numbers, domain of email address used by a data\n\t\t\t\t\t\tsubject and email addresses used by data subject, details of any unique part of address to identify location of property held by the data subject, terms and descriptions used to collectively identify a data subject with other co-debtors, names and details of a data subject's advisors, original and copy\n\t\t\t\t\t\tfacility, security and title documents, details of any other financial institution which a data subject has borrowings with, family information (names of spouse and children) of a data subject and any other numbers or information relating to the data subject from which they can or could be identified,\n\t\t\t\t\t\tdirectly or indirectly.\n\t\t\t\t\t</p>\n\t\t\t\t\t<p>10.7 Data Protection and Data Processing</p>\n\t\t\t\t\t<p>\n\t\t\t\t\t\t10.8 The terms “Data Controller”, “Data Processor”, “Data Subject”, “Personal Data” and “Processing” shall have the same meanings as in the Data Protection Legislation and “Processed” and “Process” shall be construed in accordance with the definition of “Processing”. The categories of Personal Data that\n\t\t\t\t\t\tshall be subject to terms of this Annex shall consist of such Personal Data (including sensitive personal data (or \"special categories\" of personal data) disclosed by Client to Processor from time to time with respect to its employees; borrowers, guarantors, obligors, purchasers, lessees, and bidders;\n\t\t\t\t\t\tparties who are party to a legal action with Client or with whom Client is otherwise engaged in a legal process, or any other personal data which is necessary to be processed as part of such process or which is otherwise received by Processor in the course of providing Services and such Personal Data shall\n\t\t\t\t\t\tbe limited to what is necessary in order for you to perform the Services in question. The nature and purposes of such processing shall be solely for the provision of the Services or per Clients instructions from time to time.\n\t\t\t\t\t</p>\n\t\t\t\t\t<p>10.9 The Processor agrees that to the extent that it Processes Personal Data for or on behalf of Client, it acknowledges and agrees that it shall at its own cost:</p>\n\t\t\t\t\t<p>(a) comply fully with the Data Protection Legislation;</p>\n\t\t\t\t\t<p>(b) it shall cooperate with Client and take reasonable steps requested by Client where required for Client to comply with any notification or other obligations applicable to Client under the Data Protection Legislation;</p>\n\t\t\t\t\t<p>(c) only process such personal data in accordance with applicable Data Protection Legislation and solely as necessary for the performance of its obligations in the provision of the Services only or otherwise in accordance with documented instructions received from Client from time to time;</p>\n\t\t\t\t\t<p>\n\t\t\t\t\t\t(d) implement such technical and organisational security measures to guard against the loss, destruction, corruption or alteration of personal data as are required to safeguard the personal data from unauthorised or unlawful processing or accidental loss, alteration, disclosure, destruction or damage, and\n\t\t\t\t\t\tthat, having regard to the state of technological development and the cost of implementing any measures, such measures shall ensure a level of security appropriate to the harm that might result from unauthorised or unlawful processing or accidental loss, alteration, disclosure, destruction or damage and\n\t\t\t\t\t\twhich shall be in accordance with the requirements of applicable Data Protection Legislation;\n\t\t\t\t\t</p>\n\t\t\t\t\t<p>\n\t\t\t\t\t\t(e) take reasonable steps to ensure the reliability of any of its employees, agents and/or sub-contractors who shall have access to the personal data and ensure that each of its employees, agents and subcontractors are made aware of its obligations under this letter with regard to the security and\n\t\t\t\t\t\tprotection of the personal data and shall require that they enter into or are otherwise subject to binding confidentiality obligations with the Processor to maintain the levels of security and protection provided for in this letter;\n\t\t\t\t\t</p>\n\t\t\t\t\t<p>(f) subject to Clause</p>\n\t\t\t\t\t<p>\n\t\t\t\t\t\t(g) and subject to the prior written consent of Client, not transfer such personal data outside the European Economic Area, which shall be subject to the Processor providing an adequate level of protection to any personal data that is transferred, by way of entering into the model form transfer provisions\n\t\t\t\t\t\tor providing other protections as permitted by applicable Data Protection Legislation;\n\t\t\t\t\t</p>\n\t\t\t\t\t<p>\n\t\t\t\t\t\t(g) obtain prior written consent from Client before transferring the personal data to any sub-contractor and in all cases, any such consent shall be subject to such sub-contractor being bound by the obligations set out in this Clause 2 and the Processor shall be fully liable to Client in respect of the\n\t\t\t\t\t\tperformance of the subcontractor's data protection obligations;\n\t\t\t\t\t</p>\n\t\t\t\t\t<p>(h) inform Client, prior to processing the personal data, in the event that the Processor is required by EU or Irish law to transfer the personal data outside the EEA, of that legal requirement;</p>\n\t\t\t\t\t<p>(i) promptly and without undue delay notify Client about any accidental or unauthorised access or damage to or loss of personal data processed pursuant to the provision of the Services (or where the personal data is otherwise put at risk of unauthorised disclosure or access);</p>\n\t\t\t\t\t<p>(j) assist Client in ensuring compliance with the obligations pursuant to Articles 32 to 36 of the GDPR having regard to the nature of the processing and the information available to the Processor;</p>\n\t\t\t\t\t<p>(k) cooperate as reasonably requested by Client to enable Client to comply with any exercise of rights by a data subject under Chapter III of the GDPR in respect of personal data processed by the Processor under this letter of agreement; and</p>\n\t\t\t\t\t<p>\n\t\t\t\t\t\t(l) within ten (10) days of receipt by the Processor of Client’s written request (which shall include a detailed description of Clients’s reasonable requirements), deliver a written report to Client in sufficient detail that Client can reasonably determine whether or not any applicable personal data is\n\t\t\t\t\t\tbeing or has been processed in compliance with the Data Protection Legislation and the provisions of this letter. In addition, the Processor shall allow for, and contribute to, audits, in order to audit the Processor’s compliance with the obligations under this Agreement\n\t\t\t\t\t</p>\n\t\t\t\t\t<p>\n\t\t\t\t\t\t(m) cease Processing the Personal Data immediately upon the termination or expiry of the Agreement or, if sooner, the Services to which it relates and as soon as possible thereafter, delete from its systems, the Personal Data and any copies of it or of the information it contains unless on or prior to the\n\t\t\t\t\t\tcessation of the services Client requests in writing the return of such Personal Data as an alternative to this deletion requirement. Client reserves the right to require written confirmation from the Processor that they have complied with the instruction to delete Personal Data. The provisions of this\n\t\t\t\t\t\tsub-clause shall not apply to the extent the Processor is obliged by applicable law to keep copies of the Personal Data.\n\t\t\t\t\t</p>\n\t\t\t\t\t<p>\n\t\t\t\t\t\t10.10 The processing obligations set out hereunder shall subsist for the duration of your engagement as a Processor or until such time as the Services terminate (or the relevant instructions have been completed in full and Client has confirmed that no further Services are required) in which case Clause\n\t\t\t\t\t\t2.2(m) shall apply.\n\t\t\t\t\t</p>\n\t\t\t\t\t<p>\n\t\t\t\t\t\t10.11.
